Terms and Conditions

These Terms and Conditions (“Terms”) govern your access to and use of Oasbit Trading Agents (the “Service”), operated by Oasbit, available at trade.oasbit.com.

By creating an account, subscribing, connecting a broker, running an agent, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Oasbit Trading Agents provides software tools to configure and operate AI-assisted trading agents that may interact with third-party brokers, market data providers, and related infrastructure. The Service is software for automation and operational convenience only. It is not a broker-dealer, investment adviser, commodity trading advisor, or financial institution.

2. Not investment advice

Nothing in the Service—including agent configurations, model outputs, signals, research summaries, risk suggestions, dashboards, help content, or any communication from Oasbit—constitutes investment, financial, legal, tax, or trading advice. You must not treat the Service as a recommendation to buy, sell, hold, or otherwise deal in any security, derivative, or other instrument. Any decisions you make using the Service are solely your own.

3. Accounts & billing

Access generally requires an active paid subscription processed by Stripe (unless Oasbit has expressly provisioned a complimentary account). You are responsible for accurate account information and for keeping your payment method current. If payment fails or the subscription period ends without renewal, access to the app (except Billing) may be disabled and running agents may be stopped, which may include exiting open positions according to your configured settings and broker connectivity at that time. Oasbit is not liable for any losses or market impact arising from suspension, stoppage, or forced exits related to billing, access control, or connectivity.

4. Acceptable use

You must comply with all applicable laws, regulations, exchange and market rules, and the terms of any broker or data provider you use. You may not misuse the Service, attempt unauthorized access, interfere with other users, reverse engineer the Service except where permitted by law, or use it for unlawful, manipulative, or abusive trading. You are solely responsible for ensuring your strategies, orders, and automation comply with the rules applicable to your account and jurisdictions.

5. User responsibility

You alone are responsible for: (a) selecting, configuring, starting, pausing, and stopping agents; (b) strategies, parameters, risk limits, and order instructions; (c) reviewing agent activity and broker confirmations; (d) paper vs. live trading choices; (e) maintaining sufficient buying power, margin, and permissions at your broker; and (f) your compliance and tax obligations. Oasbit does not supervise your trading and does not guarantee that any agent will behave as you intend.

6. Risk disclosure

Trading involves a substantial risk of loss, including loss of your entire capital. Automated and AI-assisted strategies can fail, misinterpret data, hallucinate or invent reasoning, place unintended or erroneous orders, fail to place intended orders, or behave differently in live markets than in testing. Market conditions change rapidly. Past performance is not indicative of future results. You use the Service at your own risk and must monitor agents, risk limits, and broker accounts continuously when capital is at stake.

7. Brokers, market data, and AI providers

The Service integrates with third parties, including without limitation Interactive Brokers (“IBKR”), market data vendors, AI model providers, hosting providers, and Stripe. Those parties are independent of Oasbit. Their products, APIs, pricing, availability, accuracy, latency, rejection of orders, account restrictions, outages, and policies are outside Oasbit’s control. You authorize connections and credentials at your own risk. Oasbit is not liable for any act, omission, delay, error, outage, or data inaccuracy of any third party, or for your misuse of third-party services.

8. Oasbit IBKR Link and connectivity

Where you use Oasbit IBKR Link or any local or remote bridge to connect the Service to IBKR (or similar), you acknowledge that connectivity may fail, drop, lag, be blocked by network or firewall settings, require updates, or become unavailable. Link failures, session disconnects, TWS/Gateway issues, API rate limits, authentication problems, or delayed order status can result in missed fills, duplicate or stale orders, unmanaged positions, or inability to cancel or flatten. You are solely responsible for verifying connectivity and order state at the broker. Oasbit is not liable for losses arising from Link or connectivity failures, misconfiguration, or your failure to supervise the connection.

9. No warranty

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, OR UNINTERRUPTED OR ERROR-FREE OPERATION. Oasbit does not warrant that the Service will meet your requirements, that agents will execute as expected, that market data will be complete or timely, or that defects will be corrected.

10. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, OASBIT AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, OR FOR TRADING LOSSES, MISSED TRADES, SLIPPAGE, FAILED OR PARTIAL EXECUTIONS, PLATFORM OR LINK DOWNTIME, SOFTWARE BUGS, AI MODEL ERRORS OR OMISSIONS, MARKET DATA ERRORS, OR THIRD-PARTY (INCLUDING IBKR) FAILURES, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, OASBIT’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE AMOUNTS YOU PAID TO OASBIT FOR THE SERVICE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM. IF YOU HAVE PAID NOTHING, OASBIT’S LIABILITY SHALL BE ZERO. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN SUCH CASES, OASBIT’S LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

11. Indemnification

You agree to defend, indemnify, and hold harmless Oasbit and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your use of the Service, agents, or automation; (b) your trading, orders, strategies, or positions; (c) your breach of these Terms or of any broker, exchange, or data-provider terms; (d) your violation of law; or (e) your connection credentials, Link setup, or misuse of third-party services.

12. Changes

Oasbit may update these Terms from time to time. The “Last updated” date will reflect changes. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Service.
